1.1 Contract

The User by creating the account, register or "SIGN UP" agrees to enter into a legally binding contract. If you do not intend to enter into the contract then do not sign up.

When you register and join the Njivan, you become a Member. If you have chosen not to register for our Services, you may access certain features as a visitor.

1.3 Modification Clause

We may modify this Contract, our Privacy Policy and our Cookies Policies from time to time. If we make material changes to it, we will provide you notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective. If you object to any changes, you may close your account. 1.Njivan provides Software through the Website, a practice management solution as a Software as a Solution (SaaS) model. The details of the Software are provided here njivan.com. Njivan is not responsible for and does not deal with any of Doctor's patient, managed by User through the Website and only provides Services to User through the Website Njivan may make certain software available to users from the Website. To the extent User uses such software or downloads such software from the Website, the software will be deemed to be licensed to User by Njivan , for providing Services to User and enabling User to use those Services only.

2.Njivan does not transfer either the title or the intellectual property rights to the users, and Njivan (or its licensors) retain full and complete title to the Software as well as all intellectual property rights therein. User agrees to use the Website and the materials provided therein only for purposes that are permitted by: (a) this Agreement; and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions.

3.Users shall not access the Services if the User is Njivan direct competitor, except with Njivan prior written consent. In addition, the User shall not access the Services for purposes of monitoring their availability, performance or functionality, or for any other benchmarking or competitive purposes.

4.Njivan will provide for the Services at no additional charge, and/or upgraded support if purchased separately and Software services available 24 hours a day, 7 days a week, except for (i) planned downtime (of which Njivan shall give at least 8 hours notice via the email, call or message and which Njivan shall schedule to the extent practicable during the weekend hours from 9:00 p.m. Indian Standard Time (IST) Friday to 9:00 a.m. Indian Standard Time (IST) Monday), or (ii) any unavailability caused by circumstances beyond Njivan reasonable control, including without limitation, acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labour problems, or internet service provider failures or delays.Njivan will provide the Services only in accordance with applicable laws and government regulations.

5.User basic support of service through call, email and online screen sharing software between 10am to 7pm, Monday to Friday, except holiday. On site service will be paid if users require it. In case of emergency you can call anytime to provide a number on the website.

6.The Services may be subject to certain limitations, limitations dependent on the User Plan, such as number of SMS, limit on storage space, number of staff account, validity of subscription, number of branches or branches.The Services provide real-time information to enable User to monitor such User's compliance with such limitations.

7.Njivan may, at its sole discretion, suspend User's ability to use or access the Website at any time while Njivan investigates complaints or alleged violations of this Agreement, or for any other reason.

8.Safeguard Your Business: A secure network means your data is protected from malware.

9.Njivan reserves the right to add new functionality, remove existing functionality, and modify existing functionality to its Services as and when it deems fit, and make any such changes available in newer versions of its Software or Website or both at its discretion. All Users of its Services will be duly notified upon release of such newer versions and Njivan reserves the right to automatically upgrade all Users to the latest version of its Services as and when it deems fit.

10.Any suggestion or changes provided by Users which we develop in our product for product enhancement or for Specific client's requirement will not be Intellectual Property of that specific user, No rights over it of any user.

11. Payment, Fees and Taxes

a)The User agrees to pay all subscription fees of Services and the User shall not circumvent the fee structure. The fee is dependent on the User Plan. The subscription fee is non-refundable.

b)Each User / member is solely responsible for payment of all taxes, legal compliances, and statutory registrations and reporting. Njivan is in no way responsible for any of the taxes except for its own income tax.

c)The fees could be paid online through the facility made on the Website. Third parties support and services are required to process online fee payment. Njivan is not responsible for any loss or damage caused to User during this process as these third parties are beyond the control of Njivan solutions.

d)The fees could also be paid offline and be either collected personally from the User or required to be mailed to info@vedeekasofttech.com .

e)All fees are exclusive of taxes. Service Tax of 18% is levied on every purchase.

f)The payment process would be considered to be complete only on receipt of the amount to Njivan designated bank account.

g)Njivan reserves the right to modify the fee structure by providing a 30 (thirty) days' prior notice, either by notice on the Website or through email to the authorised User, which shall be considered as valid and agreed communication.

h)Njivan shall send an intimation of receipt of fee from the Users through an email within 3 (three) working days of receipt of fee from such User.

i)In case of non-payment of any fee beyond the date a payment becomes overdue (overdue date), Njivan reserves the right to take all of the following actions as it deems appropriate

j)Discontinue the Services to the User any time after 5 (five) days from the overdue date.

k)Delete all information in the User's account anytime after 90 (ninety) days from the overdue date.

12. Cancellation

If you wish to cancel the service, your data will be retained on the server for 3 months. You will not be charged during this period. If you choose to activate your account during this period, you can work on the same data. After 3 months, data will be completely deleted from our system. You can export the account data in Excel format anytime as long as your account is active
